End-User License Agreement (EULA)

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, hereafter "Licensee") and Velo Intelligence ("Licensor") for the digital product known as the "DIY AI Self Assessment Kit," which includes all related materials, templates, and documentation (collectively, the "Product").

By purchasing, downloading, or using the Product, you agree to be bound by the terms of this EULA. If you do not agree, do not purchase, download, or use the Product.

1. Grant of License

Subject to the terms of this EULA, the Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the Product for your own internal business purposes.

2. Restrictions

You are expressly prohibited from:

Reselling, renting, leasing, sublicensing, or otherwise commercially distributing the Product or any of its components.
Sharing the Product with any third party who has not also purchased a license.
Modifying, adapting, translating, or creating derivative works based on the Product.
Removing any proprietary notices, labels, or copyright information from the Product.

3. Intellectual Property

All right, title, and interest in and to the Product, including all associated copyrights and other intellectual property rights, are and shall remain the sole and exclusive property of the Licensor. This EULA does not grant you any ownership rights to the Product.

4. Term and Termination

This EULA is effective upon your purchase of the Product and shall continue until terminated. The Licensor may terminate this EULA immediately if you fail to comply with any of its terms. Upon termination, you must immediately cease all use of the Product and destroy all copies in your possession.

5. Disclaimer of Warranties

THE PRODUCT IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE LICENSOR DOES NOT WARRANT THAT THE PRODUCT WILL MEET YOUR REQUIREMENTS OR THAT ITS USE WILL BE UNINTERRUPTED OR ERROR-FREE.

6. Limitation of Liability

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS PRODUCT, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, THE LICENSOR'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE PRODUCT.

7. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
